Terms of Service

1. Acceptance

By accessing or using QuackDesk (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

QuackDesk is a live chat platform that provides real-time messaging between your website visitors and your team. The Service includes a embeddable chat widget, an agent dashboard, and related tools for managing conversations. We may update, suspend, or discontinue features with reasonable notice where practicable.

3. Account / Tenant Obligations

You must provide accurate registration and account information and keep it current. You are responsible for maintaining the security of your credentials and for all activity under your account. You must notify us promptly of any unauthorized use. You are responsible for the conduct of your agents and any use of the Service through your account.

4. Acceptable Use

You may not use the Service for any illegal purpose or in violation of applicable laws. You may not use the Service to harass, abuse, spam, or distribute malware. You may not attempt to gain unauthorized access to the Service, other accounts, or our systems. We may suspend or terminate access for violations and may report illegal activity to authorities.

5. Data and Privacy

How we collect, use, and protect data is described in our Privacy Policy. By using the Service, you also agree to that policy. You are responsible for ensuring that your use of the Service (including any data you collect from visitors) complies with applicable privacy and data protection laws.

6. Fees and Refunds

Fees for paid plans are billed in advance according to the billing cycle you select. You must provide a valid payment method. Payments for the Service are processed by Paddle; Paddle’s terms apply to payments and refunds (Paddle Invoiced Consumer Terms). Refunds are provided at our sole discretion on a case-by-case basis and may be refused. We will refuse a refund request if we find evidence of fraud, refund abuse, or other manipulative behaviour that entitles us to counterclaim the refund. This does not affect your rights as a consumer in relation to products which are not as described, faulty or not fit for purpose. To request a refund, contact us at the address in Section 13.

7. Intellectual Property

QuackDesk and its licensors own all rights in the Service, including software, design, and branding. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms. You may not copy, modify, reverse engineer, or create derivative works from the Service, nor remove any proprietary notices.

8. Disclaimers

The Service is provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose. We do not warrant that the Service will be uninterrupted, error-free, or secure.

9. Limitation of Liability

To the maximum extent permitted by law, QuackDesk and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill. Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Termination

You may stop using the Service at any time. We may suspend or terminate your access for breach of these Terms, non-payment, or for any reason with reasonable notice. Upon termination, your right to use the Service ends. Sections that by their nature should survive (including 7–9 and 12–13) will survive termination.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Your continued use after the effective date of changes constitutes acceptance. If you do not agree, you must stop using the Service.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.
